Terms and Conditions - Professionals

The Professional, before accessing and using the services made available in the web application, through the domain https://cibushealth.com and/or its subdomains, and/or in the Cibus mobile application, must carefully read these Terms and Conditions of Use (hereinafter, "Terms of Use"; "Terms"; "Conditions"; "Terms and Conditions"), which establish the terms under which the Cibus service is used, while also defining the rules of participation for Professionals registered with this service.

Section 1: General Conditions

1.1. Who are we?

TP53 S.R.L. (hereinafter "TP53" or the "Company") is the company that develops and operates "Cibus", one of its products: a cloud-based software, with connections to mobile applications, designed for Professionals and Nutrition Medical Centers, which allows them to simplify the most complex activities, such as managing and analyzing nutritional information of their clients, planning, analyzing and creating meal plans, and directly and permanently monitoring the Client. In this document, references to "Cibus" indicate the product and its platform, while references to the company are indicated as "TP53" or the "Company".

In addition to these functions, the most distinctive feature of the service is to facilitate and improve the nutritional journey of the client by their Nutrition Professional. In this way, through the Cibus mobile application, the Client, at the end of each nutritional visit, will have available on their mobile device the meal plan prescribed by the Professional, which can be modified both in real time and during the next follow-up visit.

In this way, Cibus promotes, facilitates and simplifies the relationship between the Client and their Nutrition Professional, making it possible:

  • For the Client, contact with a Nutrition Professional who will directly follow their progress and physical and nutritional performance;
  • For the Professional, a tool capable of simplifying the most complex tasks, such as managing and analyzing nutritional information of their Clients, planning, analyzing and creating meal plans, and directly and permanently monitoring the Client.

1.2. Definition of Terms

"Software" means all web and mobile applications developed by Cibus, whose distribution and use are subject to these Terms of Use.

"Professional" means anyone who, by any means, has access to the restricted area for managing Clients and visits through the web version of the software or the corresponding mobile application.

"Parties" means Cibus and the Professional jointly, and the obligations and rights established here apply to both mentioned entities.

"Client" means anyone who, by any means, has access to the mobile version of the software for nutritional monitoring or the corresponding web version.

"Active Client" means a Client whose profile has been directly modified by the Professional in a given month, in any of the sections present in their Client Profile.

"Secretary" means anyone who, by any means, has access to the restricted web version of the software, made available by the Professional to such third party for the purpose of managing and scheduling their visits and Clients.

"Intellectual Property Rights" means all rights relating to scientific works in all domains of human activity, scientific discoveries, designs, industrial models, industrial, commercial and service trademarks, including copyrights, and also protection against unfair competition, as well as all other rights inherent to intellectual activity in the industrial and scientific domain.

1.3. Acceptance Conditions

Registration with the Cibus mobile application and the provision of the service by Cibus depend on the full acceptance of these conditions, and any Professional who does not accept or does not commit to behaving in accordance with these conditions will not be able to use the aforementioned service.

There are additional policies and other agreements that integrate these Terms, providing supplementary clauses and conditions relating to specific services made available on the Cibus Website. In this sense, for each individual who, in fact, is considered a Professional of Cibus services, it is presumed, at the time of registration or subsequently, that they have read and fully understood the following policies and agreements:

  • The applicable Privacy Policy
  • The Data Processing Agreement

Cibus reserves the right to modify the Terms and Conditions (partially or totally) at any time, informing the Professional in advance, and each new version of the Terms and Conditions will enter into force after publication on the Cibus website. By accepting these Terms and Conditions, users undertake to consult and study them regularly.

1.4. Binding to These Provisions

These provisions contractually bind the Professional to Cibus. As such, from the moment the Professional accepts these Terms, they are legally bound by their clauses, accepting to comply with the most updated versions of these terms, the Privacy Policy and the Data Processing Agreement.

The Professional can revoke their consent at any time and, in doing so, revokes this contract and is not entitled to any compensation or refund of amounts already paid, nor is access to Cibus allowed anymore, proceeding with the deletion of their personal data.

1.5. Legal Capacity for Software Registration

To use the Cibus Software, the Professional must be eighteen years of age or older, if the legal age in force in their country of residence is higher than this age.

Therefore, by accessing, using or creating an account on the Cibus Software, the Professional guarantees to have the legal capacity to perform legal acts of civil life, being fully aware of the legal sanctions provided by the Civil Code.

1.6. Professional's Responsibility

By accepting these Terms, the Professional undertakes to adopt only behaviors that do not violate the current legal order or that do not harm in any way legally protected positions.

These Terms apply to all modes of use of the application, whether in code form, in binary form or in any other form.

1.7. Registration

There are data that are considered indispensable for the regular performance not only of the contractual relationship between the Professional and Cibus, within the provision of this service, but also of the pre-contractual relationship between the Client and the Professional that is formed at the time of booking the visit.

Depending on the service, we may request the following registration data: first and last name, gender, country of residence, date of birth, email address and mobile number. In addition, it is necessary to present data and certificates that certify the regular registration of the Professional with the professional Order/Register, where applicable.

At the time of registration and during the use of the software and services, the Professional must provide accurate, precise and truthful information. Professionals guarantee and are responsible, in any case, for the truthfulness, accuracy and authenticity of their personal data entered, and Cibus is not responsible for the truthfulness or correctness of such data.

Registrations are personal and non-transferable and the holder is solely responsible for the actions taken with their registration. Each Professional may correspond to only one registration and Cibus may cancel each subsequent registration made by the same person.

Section 2: Specific Terms of Use for Professionals

2.1. Service Provision Conditions

The Professional, by registering and using the Cibus software, through the online platform, will subscribe to tools that will allow the simplification of their most complex tasks, such as planning, analyzing and creating meal plans, nutritional calculations, information management and analysis, etc.

In addition to these functions, the feature that most distinguishes the service is to facilitate and improve the nutritional journey of their clients. The Professional is constantly in contact with their Clients, thus facilitating access to the evolution of their progress and direct communication via message.

2.2. Professional's Responsibility

By accepting the following Terms and Conditions, the Professional undertakes to adopt exclusively behaviors that do not violate the current legal system or that do not harm in any way legally protected positions. In this regard, the Professional undertakes to:

  • Respect our policies, the rights of third parties and all laws, such as applicable Codes of Conduct;
  • Strictly follow European legislation on the protection of personal data, such as the General Data Protection Regulation;
  • Fulfill the required services;
  • Not transfer their account or access to third parties without our consent;
  • Not distribute or send spam, unsolicited electronic communications or other types of harmful communications;
  • Not distribute viruses or any other technology that may damage the Website, Cibus or the interests of Clients;
  • Not publish or distribute illegal, intimidating, abusive, defamatory, privacy-invasive, vulgar, obscene or profane content;
  • Not collect personal information about Clients without their consent and/or beyond what is strictly necessary for the provision of services.

Cibus may close, suspend or limit, with immediate effect and without notice, access to the Professional's account and services in case of violation of the above provisions.

2.3. Subscription Methods

Cibus offers various subscription plans with all the features offered by the mobile app and web version. The content and amount of each subscription depend on the number of Active Clients per month and the subscription period.

The Professional, depending on the Country of residence, can opt for monthly or annual subscriptions, which must be mandatorily combined with the desired number of clients.

2.4. Automatic Subscription Renewal

Subject to the objection of the Professional, by accepting these Terms, the Professional accepts and consents to the automatic renewal of their subscription, authorizing the debit of the appropriate amounts using the payment information previously made available.

2.5. Document Management and Signature Collection

The Software provides the Professional with features that allow them to generate, send and have their Clients sign documents such as, by way of example, the privacy notice, the consent to data processing and the letter of engagement. Such documents are prepared, managed and administered exclusively by the Professional, who is their sole owner and responsible party.

Cibus acts solely as the provider of the technical tool and is not a party to the contractual or professional relationship between the Professional and the Client. The Professional is solely responsible for the content, legitimacy, accuracy, completeness and legal suitability of the documents prepared and signed through the Software, as well as for compliance with applicable law (including provisions on personal data protection and professional conduct obligations).

The Software allows the Professional to specify a "document date" that will appear on the document itself, which may differ from the date of actual signing. The Professional acknowledges and accepts that the system in any case records, with technical evidentiary value, the actual date and time on which the Client affixes their signature (moment of the click). The choice to indicate a document date different from the actual date of signing rests with the sole determination and responsibility of the Professional, who assumes all legal, fiscal and ethical consequences thereof.

Cibus does not verify, validate or in any way respond for the correctness, truthfulness or lawfulness of the dates indicated by the Professional, nor for the use the latter makes of this feature. The Professional indemnifies and holds Cibus harmless from any claim, dispute, damage, penalty or liability arising, directly or indirectly, from the improper use of this feature or from the indication of dates that do not correspond to the truth.

2.6. Artificial Intelligence Features and Data Processing

The artificial intelligence features integrated into the Software are designed as tools to support professional activity. Content generated by such features constitutes operational assistance and does not in any way replace the clinical, professional, or ethical judgment of the Professional. Every decision made on the basis of outputs generated by the AI remains under the full and exclusive responsibility of the Professional, who is required to critically evaluate every suggestion produced by the system before applying it to clinical practice.

Cibus assumes no responsibility for clinical decisions made by the Professional on the basis of outputs generated by the AI features. Patient data is in no case used to train, fine-tune, or improve artificial intelligence models, neither by TP53 S.R.L. nor by third-party providers.

Pursuant to Regulation (EU) 2016/679 (GDPR), the Professional acts as Data Controller of their patients' data, while TP53 S.R.L. operates as Data Processor, processing data exclusively on the Controller's instructions and within the limits of the service provided. All data processed through the Software is hosted on infrastructure located within the territory of the European Union and is not transferred or processed outside it. Upon request, TP53 S.R.L. provides a Data Processing Agreement (DPA) compliant with art. 28 GDPR, which can be requested at business@tp53health.com.

Section 3: Final Provisions

3.1. Account Access Policy

Cibus reserves the right to prevent access and to proceed with the exclusion of the Professional's accounts at any time and without written notice, in cases where the Professional offends or violates any of these Terms or the conditions contained in the Privacy Policy.

The Professional has the right to request the deletion of their account on Cibus through the contact details available in the Software itself.

3.2. Intellectual Property

The applications produced by Cibus are intellectual works protected by Intellectual Property Law and are protected by applicable legislation. Each of the parts that compose them (such as design, texts, videos, music, graphics, images, information, applications, sounds, colors, logos, web page layout, applications and tools, etc.) are the exclusive property of Cibus.

The reproduction and/or representation, total or partial, use, adaptation or modification of applications or any element that composes them, on any medium or in any form, for any other purpose, including commercial, is expressly prohibited.

3.3. Exclusion of Warranties

The Professional expressly accepts that the use of the software is at their own risk and peril and under their exclusive responsibility. Cibus provides the software "as is" and "as available", without warranties of any kind, express or implied.

3.4. Limitation of Liability

Cibus will not be liable for any direct, indirect, incidental, special, consequential or exemplary damages arising from the use or inability to use the service.

3.5. Applicable Law and Jurisdiction

These Terms and Conditions are governed by Italian law. Any disputes arising from the application or interpretation of these Terms will be subject to the exclusive jurisdiction of the competent courts.
